Anthropic filed its registration statement with the Securities and Exchange Commission on Monday, October 26, for a proposed initial public offering of Class A common stock. The company plans to list on the Nasdaq Global Select Market under the ticker ANT. The filing does not yet set a share count or a price range, and the registration is not effective, so nothing can be sold until the SEC signs off. Goldman Sachs and Morgan Stanley are the firms named for prospectus requests, and Yahoo Finance reports they are leading the offering.

The filing had been expected. Anthropic submitted a confidential draft in June after a funding round that Forbes put at $65 billion raised at a $965 billion valuation. What was not public until Monday was the income statement, and that is what moved the market.

The revenue line

Anthropic reported about $16.3 billion in revenue for the six months ended June 30, 2026. Yahoo Finance's read of the filing puts that against $4.6 billion for all of 2025. The growth inside the half is steeper still: first-quarter revenue of $4.7 billion became $11.6 billion in the second quarter. MoneyCheck notes the six-month figure compares with $1.16 billion in the same period a year earlier.

Headcount was roughly 5,300 people as of September 30. Yahoo Finance calculates revenue per employee at more than $6.6 million, up from $1.4 million a year ago. For anyone who runs a software business, that ratio is the number to sit with. Claude and Claude Code are the products named in the filing.

The loss line

The net loss for the same six months was $80.7 billion, compared with a $42 billion loss for 2025. The operating picture looks different. Yahoo Finance reports second-quarter operating income of $974 million after a $1.7 billion operating loss in the first quarter, with compute costs rising to $5.6 billion from $3.4 billion. The gap between an operating profit in the quarter and an $80 billion net loss for the half is the first thing analysts will pick apart, and the filing is where the answer lives.

Compute commitments are the other large number. According to Yahoo Finance's coverage of the filing, Anthropic has agreed to spend up to $120.5 billion through 2029 under arrangements with SpaceXAI, roughly $3.1 billion a month once capacity is delivered, which is expected in December 2026. The company has also started leasing data centers and buying AI accelerators directly, an effort it calls Anthropic Direct, to reduce its reliance on Amazon and Google.

The $63 billion deal announced the same day

Hours after the S-1 went public, Bank of America, Blackstone, Citi and Morgan Stanley announced a $63 billion financing package to deploy Broadcom compute for Anthropic. A newly formed special purpose vehicle will buy Broadcom XPU accelerators and networking gear and lease the equipment to Anthropic, with deliveries starting in calendar 2027. Bank of America, Citi and Morgan Stanley are arranging the first-lien portion, Blackstone is the sole committed provider of the second lien, and Broadcom is providing residual value support to the vehicle equal to the first-lien amount.

That structure matters for anyone watching how AI infrastructure gets paid for. The chips sit in a leasing vehicle, the banks hold the senior debt, and the chipmaker stands behind the resale value. Investing.com reports Broadcom shares rose about 0.6% after hours on Monday and the stock was up again on Tuesday.

An unusual lockup

Most IPOs lock insiders out of selling for months. Anthropic's filing lets some employees and insiders trade on the first day, with later unlock windows at days 27, 48, 62 and 76, and more than 20 windows spread over about a year, per Yahoo Finance. Forbes estimated in May that each of the seven cofounders owns just over 1.7% of the company. Anthropic did not comment on those estimates at the time.

Yahoo Finance also flagged a mechanical point for index watchers. If the stock enters the Nasdaq-100 quickly, index funds will have to buy it, and the live blog noted that SpaceX fell 15% in its first week after joining that index.

What the company says could go wrong

The risk factors read differently from a typical software prospectus. The filing lists increasingly restrictive AI regulation as a business risk. It also says AI systems could pose catastrophic or existential risks, and, according to Yahoo Finance, states that the insurance industry as a whole may not be able to cover the company's liability in a catastrophic AI incident. Those are the company's own words about its own product, and they will shape how enterprise buyers write indemnity clauses.

What is still unknown

Valuation and raise size are not in the filing. Yahoo Finance reports a listing valuation under discussion of $1.5 trillion to $2 trillion, with Wall Street expecting about $2 trillion. Timing is also open. Jay Woods of Freedom Capital Markets told MoneyCheck the market needed this news and he expects strong demand.

The market reaction on Monday was immediate. Chipmakers led the Nasdaq to a 0.8% gain, with the iShares Semiconductor ETF up nearly 3% on the day, though MoneyCheck notes that fund is still about 25% below its high. For B2B operators, the practical takeaway is simpler than the stock chart: the company behind one of the two most-used enterprise AI models is about to publish quarterly numbers, and its compute bills, pricing and customer concentration will be public for the first time.

Uber cut 3,300 jobs in September. Now it is giving 30,000 employees ChatGPT

Uber deployed ChatGPT Work to more than 30,000 employees seven weeks after cutting about 3,300 jobs (10% of corporate staff). The company framed layoffs as organizational restructuring, while the rollout expands a pilot that embedded AI engineers with teams to automate pieces of their work.

  • 01Uber expanded ChatGPT Work from a 1,000-person pilot to over 30,000 employees across operations, finance, marketing, and product teams.
  • 02During the pilot, 80% of early adopters were non-engineers, and AI pods of 30 engineers paired with teams to automate work such as analyzing operational data, localizing training materials, and building dashboards.
  • 03Uber’s rollout shows AI deployments can go beyond licenses: curated integrations, embedded technical support, an internal skills library, and plans to measure adoption and outcomes.

PHP2Shell: two critical PHP flaws put 34 million web services on the clock

Two critical unauthenticated remote code execution flaws in PHP (CVE-2026-109618 and CVE-2026-109619) with CVSS 9.2 scores affected 34.4 million vulnerable services as of October 23, with no patches available for PHP 8.1 and older. Exploitation attempts reached millions within hours of disclosure, though confirmed compromises remain unproven, while attackers tested a Mirai-derived botnet variant against production servers.

  • 0134.4 million PHP services were vulnerable to the remote code execution flaws as of October 23, with roughly 272,000 hosts running supported branches that received patches
  • 02PHP 8.1 and older versions have no official patch available, requiring migration to a supported branch or acceptance of backported fixes from Linux distributions
  • 03Exploit attempts grew from tens of thousands within 45 minutes of disclosure to millions by October 22, but ASLR and proper error-display configuration on production servers have so far prevented confirmed code execution

Two-phase cold plates run in desert heat on warm water loops

Two-phase cold plates run in desert heat on warm water loops

UNICOM Engineering chief technologist Austin Hypes compares rear door, single-phase, two-phase and immersion cooling for AI racks on Flawless Execution. He says two-phase cold plates use dielectric refrigerant and can avoid chillers and evaporative towers in hot, dry sites, and immersion can keep servers up ten to 15 minutes and sometimes an hour or more after a cooling loss. Schneider Electric engineers cite estimates that single-phase holds about 55% of the 2026 liquid cooling market.

  • 01A Motivair by Schneider Electric engineer puts single-phase cold plates at an estimated 55% of the 2026 liquid cooling market and expects them to dominate for five to 10 years.
