Rockwell Medical has agreed to acquire the majority of Vantive's hemodialysis assets and associated operations for a base purchase price of $125 million, subject to customary adjustments, with up to $45 million in additional contingent consideration tied to revenue and EBITDA milestones. Both companies announced the equity and asset purchase agreement on November 3. Closing is expected in mid-2027, subject to regulatory approvals and other closing conditions.

What changes hands

The deal covers Vantive's hemodialysis concentrates, hemodialysis machines including the AK 98, water treatment systems, and the related consumables and technical services business. Ownership of Vantive's manufacturing campus in Medolla, Italy transfers to Rockwell. Rockwell describes the campus as about one million square feet, producing dry concentrate cartridges, machines, parts and consumables, and water treatment systems. Vantive said its dialyzer portfolio, including the Theranova dialyzer used for expanded hemodialysis, is not part of the transaction.

Vantive is financing the sale. Rockwell will fund the base price with two $50 million term loans from Vantive plus a $25 million convertible note issued to Vantive, with an initial conversion price at a 100% premium to the 15-day volume-weighted average price of Rockwell's common stock, as set out in the definitive documents. Rockwell's advisers are Aquilo Partners and Gibson Dunn. Vantive's are Perella Weinberg Partners, Barclays and Kirkland & Ellis.

What each company said

Rockwell, based in Wixom, Michigan, said the combined business could generate annual revenue between $400 million and $450 million, depending on operating performance, exchange rates, market conditions and integration. Because of projected transaction and financing expenses, the company withdrew its previously issued 2026 guidance for net sales, gross margin, adjusted EBITDA and operating cash flow. Chief executive Mark Strobeck called the acquisition a transformative step in Rockwell's evolution that would accelerate the next phase of its growth, describing Rockwell as a company singularly focused on hemodialysis. Rockwell shares rose 7.8% on Tuesday, Investing.com reported.

Vantive, based in Deerfield, Illinois, said the divestiture sharpens its focus on home dialysis and critical care, leaving a portfolio centered on chronic disease management and critical care intervention, and that it is selectively expanding its kidney care platform toward a more integrated approach to organ failure in the ICU. Chief executive Chris Toth said the company is committed to working together through the transition to help ensure continuity of care.

What it means for dialysis providers and suppliers

For dialysis clinics, hospitals and the purchasing groups that supply them, the practical questions run through mid-2027: who services AK 98 machines and water systems during the transition, whether concentrate supply contracts carry over, and how the Medolla plant's output is allocated between the two companies' remaining lines. Both companies have said continuity is the goal, and the runway to close gives providers time to confirm service and supply arrangements. Rockwell has said the announcement summary is qualified by the Form 8-K it will file on the agreement.
