> Fox closed its acquisition of Roku on November 6, putting Roku, Tubi and FOX One in a new FOX Digital Platforms division and committing to keep Roku an open platform for content partners.

## Key points

- Fox completed its acquisition of Roku on November 6, and Roku shares stopped trading on the Nasdaq.
- Roku stockholders receive $95.30 in cash and 0.9799 FOX Class A shares per Roku share.
- The new FOX Digital Platforms division includes Roku, Tubi, FOX One and Red Seat Ventures.

Fox Corporation completed its acquisition of Roku on November 6, the company said, adding the largest piece yet to its streaming business. Fox said it now runs one of the leading streaming businesses in the U.S., inclusive of Roku, Tubi and FOX One, and that Roku's open distribution platform will keep serving more than 100 million households worldwide.

When the deal was announced in June, it was valued at roughly $22 billion including debt, the Associated Press reported, via KSL. Under the final terms in Fox's announcement, Roku stockholders receive $95.30 in cash and 0.9799 shares of FOX Class A common stock for each Roku share. Fox stockholders own about 74% of the combined company and former Roku stockholders about 26%. Roku shares stopped trading on the Nasdaq on Friday.

## A new FOX Digital Platforms division

Fox formed FOX Digital Platforms, a division that includes Roku, Tubi, FOX One, Red Seat Ventures and other digital products. Roku founder Anthony Wood joins the FOX board and becomes Co-Chair of the division alongside Paul Cheesbrough, who takes the role of Co-Chair and CEO, FOX Digital Platforms.

Fox expects about $400 million in run-rate cost synergies within two years of closing, with potential revenue upside, and expects the deal to add to free cash flow per share by the second full year after closing.

> Beginning today, our top priority for the combined company is to continue to relentlessly serve audiences and partners, while reinforcing the openness and choice that is the essence of the Roku platform. — Lachlan K. Murdoch, Executive Chair and CEO, Fox Corporation

## An open platform commitment for partners

For streaming services, app developers and advertisers that rely on Roku, the key line in the announcement is about access. Fox said Roku will continue to play its role as a leading open ecosystem for the broader streaming industry, and that the two companies will preserve the choice Roku offers viewers and the value it provides to content partners.

> FOX has a deep respect for Roku's culture and wholly shares our commitment to staying open to every content partner. Our teams will keep building and innovating as they always have, now with the support and capabilities of FOX behind us. — Anthony Wood, Founder, Roku

## What advertisers and content partners can watch

Fox said the deal moves its business mix toward high-growth streaming and connected TV and creates opportunities for viewers, advertisers and partners. The next signals for media buyers and streaming partners are how FOX Digital Platforms packages Roku, Tubi and FOX One audiences for advertisers, and how the open-platform commitment shows up in distribution terms for other services on Roku.
