# Harbor Health to buy 27 Village Medical clinics in Greater Houston

Modern Healthcare reports that Harbor Health's purchase of Village Medical clinics in the Houston area is expected to close at the end of 2026. Harbor is an Austin-based clinic group and insurer. Financial terms were not disclosed.

For a benefits manager or broker in Houston, the practical question is what a Harbor plan actually buys while the deal for the clinics behind it is still pending.

## Clinics first, coverage second

Harbor calls itself a payvider, meaning one company that both runs the clinics and sells the insurance that pays for them. In its announcement, Harbor said Houston becomes the fifth Texas market where it does both, after Austin, Dallas, San Antonio and El Paso. Co-founder and CEO Tony Miller described the goal as building the best payvider in Texas and said Houston was always central to that plan.

## What a Houston benefits buyer is evaluating

In a July blog post, Harbor said its large employer plans would reach more than 14 million Texans, or roughly 47% of the state's population.

Individual plans show the reverse order. In July, Harbor already listed the same four Houston counties among the 13 where its marketplace plans would be sold, before it had announced any clinics there. The October announcement names Village Medical Houston as the primary care home for members in Harris, Montgomery, Fort Bend and Brazoria counties.

The plan design depends on that network. Harbor plans have no deductible. When a member starts with a Harbor clinician and that clinician refers them to a specialist, the specialist care is covered at $0. That benefit runs through the clinic. For Houston-area employers looking at a fully insured option for 2027, its value depends on whether employees will actually use those 27 locations as their first stop.

## Same name on the door, new network behind it

Current Village Medical patients won't see much change. Harbor says these patients don't need to do anything. The clinics will keep accepting the insurance plans they take today, and they will keep the Village Medical name while joining the Harbor Health Insurance Company provider network. The integrated model only applies to someone who picks a Harbor plan. For everyone else, this is mostly a change of owner.

## VillageMD's remaining practices

VillageMD was sold to private equity firm Sycamore Partners in the $10 billion takeover of Walgreens, and it is still working to unload its primary care businesses, Forbes' Bruce Japsen reports. It is selling these 27 clinics to Harbor just one year after Harbor bought 32 of its clinics. VillageMD spokeswoman Molly Lynch told Forbes the company still has 17 clinics in Georgia, two in Kentucky and 12 practices in the Houston market that aren't part of the Harbor deal.

For Houston employers, VillageMD's 12 remaining practices in the market suggest ownership of the area's primary care clinics could keep shifting after this deal, which is expected to close at the end of 2026.
